Terms of Service

01Eligibility and Membership

The OLD BOYZ CLUB App is intended for adult men aged 18 and older. By creating an account, you represent and warrant that you are at least 18 years of age; that you have the legal authority to enter into these Terms; and that you are not prohibited from using the App under the laws and regulations of the United States or of any other applicable jurisdiction.

You sign in with Apple or Google (or another sign-in method we offer). You may connect more than one sign-in method to the same account, and you may not create more than one account. Blum & Co. reserves the right to deny, suspend, or revoke any membership at its sole discretion, at any time, for any reason, with or without notice.

You agree to provide accurate, truthful, and complete information during registration and onboarding, including your real name and date of birth. Providing false, altered, or fraudulent information, or attempting to circumvent age or identity checks, is grounds for immediate and permanent removal from the platform.

You are responsible for keeping your Apple, Google, and device accounts secure and for all activity under your account. We reserve the right to remove, reclaim, or change a name or username if we determine, in our sole discretion, that it is inappropriate, obscene, impersonating someone, or otherwise objectionable.

02Code of Conduct

Membership in OLD BOYZ CLUB is a privilege, not a right. Members are expected to conduct themselves with integrity, respect, and maturity at all times — both within the App and at any Events associated with the OLD BOYZ CLUB brotherhood (the “Brotherhood”).

The following behaviors are strictly prohibited and may result in immediate suspension or permanent termination of your membership without refund:

• Harassment, bullying, hate speech, or any form of targeted aggression toward another member
• Unsolicited commercial solicitation, spam, or aggressive business pitching
• Impersonating another member, public figure, or any other individual
• Sharing, distributing, or reproducing any private content, conversations, or member information outside of the App
• Attempting to circumvent, hack, or manipulate any feature, security measure, or functionality of the App
• Planning or engaging in any illegal, fraudulent, or manipulative activity, or for the commission or facilitation of any illegal activity
• Any conduct that Blum & Co. determines, at its sole discretion, to be harmful to the Brotherhood or inconsistent with its values

Blum & Co. is not obligated to monitor all content or conduct on the platform but reserves the right to investigate and take action on any reported or observed violation of these Terms.

Redacted posts. Redacted posts and replies hide your name and chapter from other members, but they remain subject to these Terms. We keep a private record of who wrote Redacted content so that you can manage your own posts and so that we can enforce these Terms and meet legal obligations.

03Membership Fees and Billing

Access to the OLD BOYZ CLUB App requires a paid membership subscription, currently offered at $20.00 per year. Membership subscriptions do not include a free trial; your payment method will be charged upon purchase. Current pricing is displayed within the App, in the relevant store listing, and at checkout at the time of purchase. Blum & Co. reserves the right to change pricing at any time. Price changes apply only to new memberships purchased after the change. Members who are already subscribed at the time of a price change will remain on the plan and rate they originally purchased for as long as their subscription remains active and uninterrupted.

Complimentary membership. From time to time we may give a member a period of membership at no charge, for example with a personal invitation from the club. A complimentary period is not a free trial of a subscription: nothing is charged when it starts or when it ends, and it does not turn into a paid subscription by itself. When a complimentary period ends, you need a paid membership to keep using the App. If you have never had a paid membership and do not start one, your place is held for 7 days after the complimentary period ends. After those 7 days we may remove the account, including its profile, posts, messages and other content, and its member number may be given to a new member. We aim to contact you before an account is removed. A removed account cannot be restored, and you are welcome to join again as a new member.

One membership covers one account on every platform. How you are billed depends on where you subscribe:

• iPhone: billed through Apple’s In-App Purchase system via the Apple App Store, under Apple’s terms and policies.
• Android: billed through Google Play, under Google’s terms and policies.
• Website: billed by us through our payment partners (Stripe, with subscription management by RevenueCat). Your card details go directly to the payment provider; we never see or store your full card number. Applicable sales tax or similar charges may be added at checkout.

Memberships automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date (for Apple and Google purchases, at least 24 hours before the renewal date). You can cancel at any time:

• iPhone: Settings > [your name] > Subscriptions.
• Android: Google Play > Payments & subscriptions > Subscriptions.
• Website: Settings > Membership > Manage or cancel membership.

Cancelling stops future renewals; your membership continues until the end of the period you already paid for. It is your responsibility to cancel on the same platform where you subscribed. Deleting your account does not cancel a subscription.

Refunds. Purchases made through Apple or Google are refunded only by Apple or Google under their policies; Blum & Co. cannot issue refunds for those purchases. Purchases made on our website are non-refundable except where required by law. Memberships terminated for violating these Terms or the House Rules are not refunded.

04Intellectual Property Rights

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”). Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world. The Content and Marks are provided in or through our Services “AS IS” for your personal, non-commercial use only.

Your use of our Services

Subject to your compliance with these Terms, including the “Code of Conduct” section above, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your personal, non-commercial use. Except as set out in this section or elsewhere in our Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. If you wish to make any use of the Services, Content, or Marks other than set out in this section or elsewhere in our Terms, please address your request to team@oldboyzclub.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content. We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of our Terms and your right to use our Services will be terminated.

Your contributions

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphs, comments, suggestions, or personal information or other material. Such contributions may be viewable by other users of the Services. You retain ownership of any original content you post, share, or upload within the App. By posting content, you automatically grant Blum & Co., LLC a non-exclusive, royalty-free, worldwide license to host, display, and distribute that content to other members within the App solely for the purpose of operating the platform. Such contributions you transmit may be treated as non-confidential and non-proprietary.

You represent and warrant that any content you post does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party. You are solely responsible for the content you post.

Blum & Co. reserves the right to remove any content that violates these Terms or that it determines, at its sole discretion, to be harmful, inappropriate, or inconsistent with the values of the Brotherhood.

05Third-Party Websites and Content

The Services may contain (or you may be sent via the App) links to other websites (“Third-Party Website”) as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating form third parties (“Third-Party Content”). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms no longer govern. You agree and acknowledge you should hold us blameless from any harm caused by your purchase of any products or services on such Third-Party Websites. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

06Privacy and Confidentiality

The OLD BOYZ CLUB App is intended to service a private Brotherhood. Members are expected to treat all information shared within the App — including posts, direct messages, and personal disclosures by other members — with discretion and confidentiality.

Sharing, screenshotting, recording, or reproducing any content or communication from within the App outside of the platform is strictly prohibited and constitutes a material breach of these Terms.

07Privacy Policy

We care about your data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms. Please be advised the Services are hosted in the United States and Canada. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States and Canada, and you expressly consent to have your data transferred to and processed there.

08In-Person Events

OLD BOYZ CLUB may organize or facilitate in-person events, meetups, and gatherings for its members (each an “Event”). Attendance at any such Event is voluntary and at your own risk. Blum & Co. is not responsible for any injury, loss, damage, or harm that occurs in connection with your attendance at, travel to and from, or participation in any eEvent.

All Events are subject to their own rules and expectations consistent with the Code of Conduct outlined in these Terms. Conduct violations at Events may result in removal from the Event , restriction of access to the App, and termination of OLD BOYZ CLUB membership.

Some Events are hosted by individual members rather than by the Company. The Company reviews member-hosted Events before they are listed, but it does not organize, supervise, or control them, and the member host is not an agent or employee of the Company.

09Termination

Blum & Co. reserves the right to suspend or terminate your account and access to the App at any time, for any reason, at its sole discretion, with or without notice. Reasons for termination include but are not limited to violations of these Terms or the House Rules, conduct unbecoming of a member, or actions deemed harmful to the Brotherhood or the company.

Upon termination, your right to access the App ceases immediately. No refund of any prepaid or unused subscription fees will be issued in the event of termination for cause, including removal for violating the House Rules. A member removed for violating the House Rules may not use another account to rejoin. For terminations not related to conduct violations, any refund is governed by the Membership Fees and Billing section.

You may cancel your membership at any time as described in the Membership Fees and Billing section. Cancellation takes effect at the end of the current billing period. You may also delete your account at any time (see Deleting Your Account below).

10Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

11Limitation of Liability

Blum & Co., LLC provides the App and its Brotherhood platform on an "as is" and "as available" basis. We make no warranties of any kind, express or implied, including as to any warranty regarding the reliability, availability, accuracy, or fitness for a particular purpose of the App or its content.

Without limitation to the foregoing, neither Blum & Co. nor anyone affiliated with it represents or warrants that any of the services and content made available by Blum & Co. (including through the App) will be accurate, reliable, error-free, or uninterrupted; that the services and content are free of viruses or other harmful components; or that the services and content will meet your needs or expectation. Your sole remedy for any dissatisfaction with the App, the Brotherhood, or any content provided thereby is to stop using the App and to terminate your Membership with OLD BOYZ CLUB. You acknowledge that, upon conclusion or termination of your Membership with OLD BOYZ CLUB, any and all content or other data input, submitted, or otherwise provided to or by you through the App may be deleted and destroyed and that copies of such information may not be available to share with you.

To the fullest extent permitted by applicable law, Blum & Co., LLC, its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the App, any interactions with any third party through or in connection with the App or the Brotherhood (including as to any other Member), any Event, or any content posted within the platform.

In no event shall our total liability to you for any claims arising from your use of the App, any interactions with any third party through or in connection with the App or the Brotherhood (including as to any other Member), any Event, or any content posted within the platform exceed the lesser of either (i) the total amount of membership fees actually paid by you to Blum & Co. and/or OLD BOYZ CLUB in the twelve months preceding the claim or (ii) US$100.00.

12Indemnification

You agree to indemnify, defend, and hold harmless Blum & Co., LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the App, any interactions with any third party through or in connection with the App or the Brotherhood, any Event, any content posted within the platform, your violation of these Terms, your violation of any intellectual property or other rights of any person or entity, or any content you post within the platform.

13Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Indiana.

14User Data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

15Electronic Communications, Transactions, and Signatures

Visting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDER, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VISA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

16California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd, Suite N 112, Sacramento, California 95834 or by telephone at (800) 953-5210 or (916) 445-1254.

17Deleting Your Account

You can delete your account at any time in the App or on the website under Settings > Delete account, or by following the instructions at https://app.oldboyzclub.com/delete-account. You can also email team@oldboyzclub.com to ask us to delete your account. Deleting your account permanently removes your profile and the content and messages you sent, as described in our Privacy Policy, and cannot be undone. Deleting your account does not cancel a paid subscription and does not entitle you to a refund. Some records may be retained as described in the Privacy Policy.
